Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the WebCred.io platform, websites, APIs, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

1. The Services

WebCred provides an online reputation management platform that analyzes your customer reviews with AI, and delivers dashboards, reports, surveys, and related features to business customers and agency partners. We may modify, improve, or discontinue features of the Services at any time.

2. Accounts and eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Services. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us promptly of any unauthorized use.

3. Agency and business customers

Agencies use WebCred to manage multiple client businesses from a single account. If you are an agency, you are responsible for the actions of your users and for complying with these Terms on behalf of the businesses you manage. If your business is managed by an agency, that agency’s administrators may access your account data to deliver services on your behalf. We are not responsible for agreements between agencies and their clients.

4. Acceptable use

You agree not to:

• Use the Services to violate any law or the rights of others, including privacy or intellectual property rights.
• Attempt to access accounts, data, or infrastructure that you are not authorized to access, or probe, scan, or test the vulnerability of the Services without written permission.
• Resell, sublicense, or redistribute the Services or the raw data they produce except as expressly authorized.
• Reverse engineer, decompile, or attempt to extract source code from the Services, except to the extent such restriction is prohibited by law.
• Upload malware, conduct denial-of-service attacks, or otherwise interfere with the operation of the Services.
• Post fraudulent, misleading, or fake reviews, or otherwise manipulate review content in violation of the source platform’s rules or applicable FTC endorsement guidelines.

5. Third-party content and sources

Review content belongs to its respective authors and source platforms; WebCred does not claim ownership and is not responsible for its accuracy, completeness, or availability. Source platforms may change their terms, APIs, or availability at any time, which may affect the Services.

6. Your content

You retain ownership of the data, configurations, and materials you upload or create in the Services (“Customer Content”). You grant WebCred a worldwide, non-exclusive, royalty-free license to host, copy, process, and display Customer Content solely as necessary to provide, secure, and improve the Services. You are responsible for having the rights and permissions required to provide Customer Content to WebCred.

7. Intellectual property

WebCred and our licensors retain all right, title, and interest in and to the Services, including all software, trademarks, designs, and documentation. No rights are granted to you except as expressly set forth in these Terms.

8. Fees and billing

Paid features of the Services are subject to the fees, billing cycle, and payment terms described in your order form or as presented at sign-up. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing for future billing periods with prior notice.

9. Confidentiality

Each party agrees to protect the other’s non-public information disclosed in connection with the Services using at least a reasonable standard of care and to use it only for purposes of the relationship between the parties.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBCRED DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WEBCRED DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE REVIEW DATA PROVIDED BY THIRD-PARTY SOURCES WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS. WEBCRED’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO WEBCRED FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless WebCred and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Customer Content, your use of the Services in violation of these Terms, or your violation of applicable law or third-party rights.

13. Termination

Either party may terminate these Terms if the other materially breaches them and does not cure the breach within thirty (30) days of written notice. We may suspend or terminate your access immediately if we reasonably believe you are misusing the Services or creating risk to us or other users. Upon termination, your right to use the Services ends and we may delete your Customer Content after a reasonable period.

14. Governing law

These Terms are governed by the laws applicable to WebCred’s principal place of business, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located there for any disputes arising out of or relating to these Terms, subject to any mandatory consumer-protection laws that apply in your place of residence.

15. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, provide additional notice. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
